OPERATIONS




Gas-to-Liquids (GTL) Operations

On March 7, 2016, the Corporation announced that it entered into an Option to Purchase License Agreement (the “Option”) dated effective March 4, 2016 with Expander Energy Inc. (“Expander”) for the purpose of creating a partnership between Saccharum, Expander and a consortium of private investors to build Canada’s first small-scale commercial Enhanced GTL® (“EGTL™”) plant in Alberta. The plant is designed to convert natural gas and natural gas liquids into premium zero sulfur, high cetane synthetic diesel. As part of the Option, the Corporation paid a non-refundable technology licensing option fee of $200,000 which gives the Corporation the option to purchase a non-exclusive license for Expander’s EGTL™ technology which expires February 28, 2018. The EGTL™ license will permit the Corporation to build, own, and operate a GTL plant up to a size of 2,000 barrels per day (“bpd”) of synthetic diesel or greater (subject to conditions).

SynStream plans to raise capital to participate in Expander Energy Inc.’s first commercial plant. The nominal 300bpd plant is engineered to convert natural gas and natural gas liquids into synthetic diesel.




Oil & Gas Operations

Retlaw Property
The Corporation’s major oil & gas property is located the Retlaw area in Alberta; its production consists of oil, gas, and natural gas liquids. The property is operated by Wolf Coulee Resources Inc.

Mikwan Property

SynStream’s next major interest is in the Mikwan area of Alberta, which is a coalbed methane property operated by Encana. All other properties of the Corporation are considered minor and are also non-operated. All of the Corporation’s production is onshore and located in the province of Alberta.

Shane Ferster is the CEO of SynStream Energy Corp. He obtained his Bachelor of Commerce degree with a major in finance from the University of Alberta. He obtained the Derivatives Market Specialist designation from the Canadian Securities Institute in 2002. Mr. Ferster has over 12 years experience of in commodities-based industries (oil and gas, mining, and power) including: executive management, market analysis, forecasting, and budgeting. He was formerly Chief Financial Officer and director for Canadian Rockies Petroleum Corp., a junior oil and gas producer. Mr. Ferster is a director of Caldas Gold Corp., a junior mining company.
James Ross is the CEO of Expander Energy Inc., a private Canadian energy company and key technology licensor to SynStream’s GTL projects. He obtained his Bachelor of Science (Geography) degree from McMaster University, Business Administration diploma from Wilfred Laurier University, and Chartered Director (C. Dir.) from DeGroote School of Business and the Conference Board of Canada. Mr. Ross has over 30 years experience in the investment industry including: executive management, small capital investment banking, venture capital, private equity, sales and trading. Formerly, Mr. Ross was a Senior Managing Director for Jennings Capital Inc. He was lead director and an early investor in C-Free Power Corp., a renewable energy company which was acquired in 2009 by Good Energies Capital. Currently, Mr. Ross is a Director of Glenbriar Technologies Inc and 80-20 Connect Inc.
David E. T. Pinkman is CFO and a director of International SoftRock Oil Company Limited, a TSX Venture Exchange-listed junior oil and gas exploration company, and has held these positions since its incorporation in September, 2012. He is also a founder, Secretary and a director of Saccharum Energy Corp. and has held these positions since May, 2007. He is also currently a director of Red Rock Energy Inc., a TSX Venture Exchange-listed junior uranium exploration and oil and gas exploration company, and has held that position since April, 2005 and is a director of Builders Capital Inc., a TSX Venture Exchange – listed mortgage investment corporation. Previously, he was CFO and a director of PanWestern Energy Inc., a listed junior oil and gas company, and served in those roles from November, 2001 to April, 2010. He was also President and a director of Explorator Resources Inc., a CPC company, and held those positions from September 2005 to January, 2007. Prior to that, he was Vice President and a director of Powermax Energy Inc., a TSXV-listed oil and gas issuer, from November 2001 until September, 2005. He was also a director of Renewable Power & Light Plc., an AIM-listed independent power production company, from June, 2006 to October, 2007. Mr. Pinkman was a partner at the law firm Pinkman, McArdle, Barristers and Solicitors from 1991 until December 2000. Called to the bar in 1985, as a lawyer he has practiced primarily in the areas of corporate and securities law. He has served on the boards of a number of public and private companies carrying on business in the resource and other industries. In addition, Mr. Pinkman has served on the boards of a variety of local volunteer organizations, and continues to serve as a director and Vice-President of Wild Rose Motocross Association, a non-profit association registered under the Societies Act (RSA 1980, as amended). Mr. Pinkman obtained a BA degree from the University of Calgary in 1980, and an LLB degree from the University of British Columbia in 1984.
Mr. Ghazar is a professional accountant with over 20 years of domestic and international experience in the oil & gas industry. He has held executive and management positions with Exchange listed issuers which have been involved in growth, mergers, acquisitions and divestitures. Concurrently, Mr. Ghazar is Chief Financial Officer & VP, Finance for Standard Exploration Ltd., a public oil and gas corporation listed on the TSX-Venture Exchange. Mr. Ghazar’s previous executive involvement has included Primera Energy Resources Ltd., PanWestern Energy Inc., Longford Energy Inc. and BrazAlta Resources Corp., all Exchange listed Issuers. Mr. Ghazar holds a Bachelor of Arts Degree with a minor in Business from the University of Calgary and an Advanced Accounting Certificate from the Southern Alberta Institute of Technology, as well as completing the 5th level in the CMA program. Also forming part of Mr. Ghazar’s formal education includes a CAPPA certificate (Canadian Association of Petroleum Production Accounting) as well as certificates of completion in the Public Company Compliance Workshops which focus on the regulations of the Securities Regulatory Industry, Continuous Disclosure Obligations, as well as Regulatory and Corporate Governance Practices. Mr. Ghazar’s executive and managerial background with Exchange listed issuers includes extensive IFRS and GAAP experience, accounting and tax treatment for corporations and subsidiaries, as well preparation of Financial Statements and Management’s Discussion & Analysis (MD&A). He has international accounting experience in Canada, United States, and Trinidad and Tobago and has had key roles with the preparation of Information Circulars, Plan of Arrangements, and Business Acquisition Reports.
Steve Price is a professional engineer and President of Expander Energy Inc. He has over 35 years experience in engineering and management including corporate operations, evaluations, facilities design and operation. Mr. Price received his Bachelor of Science degree in Electrical Engineering from the University of Manitoba. He is past President of Unitech Energy Resources Ltd., Vice President of HCO Energy Ltd., Bralorne Resources Inc., and Manager of Ranchmen’s Resources Ltd. (all oil & gas issuers that are or were listed on the TSX).
Steve Kresnyak is the Chief Technology officer of Expander Energy Inc. He is also President of Swiftsure Engineering Ltd., an engineering consulting company assisting clients engaged in upstream, downstream and offshore energy industry, primarily in facilities areas of gas and oil production, gas and oil processing, refining and upgrading. Mr. Kresnyak has over 35 years EPC/EPCM experience and currently supports WorleyParsons (formerly Colt Engineering) in Calgary and globally as a Technical Specialist in front end development of gas, heavy oil and bitumen projects and technology development. Mr. Kresnyak has authored and presented several patents and technical papers.
Glenn McGinnis has over 35 years refining experience, held various positions with El Paso Corporation, Aux Sable Liquid Products, Orion Refining Corporation, TransAmericanRefining Corporation, Imperial Oil Limited and Exxon.
