SAINT-MICHEL-DES-SAINTS, Québec, June 28, 2019 (GLOBE NEWSWIRE) -- Nouveau NOUVEAU MONDE GRAPHITE INC. (“Nouveau Monde” or the “Corporation”) (TSX VENTURE: NOU) (OTCQX: NMGRF) (FRANKFURT: NM9) is pleased to announce that it has completed a private placement of 42,345,213 common shares (the “Shares”) in the capital of the Corporation at a price of C$0.235 per Share for aggregate gross proceeds of C$9,951,125 (the “Private Placement”). The Private Placement forms part of the financing strategy of the Corporation announced on April 3, 2019.


The Corporation also announces that it has closed an unsecured financing with Pallinghurst Graphite Limited (“Pallinghurst”) for an aggregate amount of C$2,000,000, which minimises shareholder dilution and bears interest at a rate of 9% per year (the “Financing”). The capital and the accrued interest shall be repaid at the latest on June 27, 2020.


Together with the proceeds of the private placement announced on April 3, 2019 and the Financing, the proceeds of the Private Placement (collectively, the “Combined Equity Raise”) are expected to provide Nouveau Monde with sufficient funding for its next stage of development of the Matawinie project (the “Matawinie Project”). Specifically, the proceeds from the Combined Equity Raise will be used to:



  • Fund the continued operation of the existing graphite flake plant, allowing product qualification purposes with end customers and process optimisation prior to full commercial operation;

  • The construction of a demonstration plant for value-added products, for the growing lithium-ion battery and expandable graphite markets; and

  • For working capital and general corporate purposes.


The following insiders, directors and officers, showing strong support for the Corporation, subscribed for a total of 33,090,320 Shares in the Private Placement amounting to C$7,776,225, as follows: cornerstone shareholder, Pallinghurst, subscribed for 8,525,000 Shares (for an amount of C$2,003,375) to maintain its 19.99% ownership interest; the Government of Québec, through its agent Ressources Québec Inc., subscribed for 20,000,000 Shares (for an amount of C$4,700,000); Charles-Armand Turpin subscribed for 4,255,320 Shares (for an amount of C$1,000,000); Éric Desaulniers subscribed for 50,000 Shares (for an amount of C$11,750); Charles-Olivier Tarte subscribed for 50,000 Shares (for an amount of C$11,750); Karl Trudeau subscribed for 50,000 Shares (for an amount of C$11,750) and Patrice Boulanger subscribed for 75,000 Shares (for an amount of C$17,625).


The Shares issued in the context of the Private Placement are subject to a four (4) months plus one (1) day statutory hold period ending on October 28, 2019.


The Private Placement to insiders and the Financing with Pallinghurst constitute “related party transactions” within the meaning of Regulation 61-101 respecting Protection of Minority Security Holders in Special Transactions (“Regulation 61-101”) and TSXV Corporate Finance Policy 5.9 – Protection of Minority Security Holders in Special Transactions. The directors of the Corporation have determined that the exemptions from formal valuation and minority approval requirements provided for respectively under subsections 5.5(a) and 5.7(1)(a) of Regulation 61-101 can be relied on as neither the fair market value of the Shares issued to the insiders, together with the value of the Financing, nor the fair market value of the consideration paid exceed 25% of the Corporation’s market capitalization. None of the Corporation’s directors has expressed any contrary views or disagreements with respect to the foregoing. The Corporation did not file a material change report 21 days prior to the expected closing date of the Private Placement and the Financing as the details of the participation of the related parties of the Corporation had not been confirmed at that time.


The Corporation paid brokerage, investment banking or similar fees of only C$18,000 to Pareto Securities Ltd. and C$18,000 to Platinum Broking Company Limited for services rendered in connection with a portion of the Private Placement.


Annual General and Special Meeting of Shareholders


The Corporation held Friday, June 21, 2019 at 10:00 am the Annual General and Special Meeting of Shareholders whereby the following eight candidates were all elected as board directors: Yannick Beaulieu, Patrice Boulanger, Éric Desaulniers, Nathalie Jodoin, Marc Prud’homme, Christopher Shepherd, Arne H. Frandsen and Pierre Renaud.  Guy Bourassa withdrew his candidacy as a director.


During the Meeting, shareholders also appointed PricewaterhouseCoopers S.R.L./S.E.N.C.R.L. as the Company’s external auditor.

As of the Closing Date, Pallinghurst holds 19.99% of the Shares.


No brokerage, investment banking or similar fees were paid by the Corporation for the Pallinghurst Placement and the Shares issued to Pallinghurst are subject to a four (4) months plus one (1) day statutory hold period ending on August 26, 2019. In the context of the Pallinghurst Placement, Pallinghurst agreed not to sell its Shares for up to two years following the Closing Date, subject to conditions.

SAINT-MICHEL-DE-SAINTS, Québec, April 11, 2019 (GLOBE NEWSWIRE) -- Nouveau Monde Graphite Inc. ("Nouveau Monde") (TSX Venture Exchange: NOU)  is pleased to announce that it has filed its Environmental and Social Impact Assessment ("ESIA") for the Matawinie Project with the Ministère de l'Environnement et de la Lutte contre les changements climatiques (« MELCC »).


The filing of the ESIA is an important step in the permitting of the project by the ministerial authorities, which will render its decision by decree. This study is conducted according to the principles of sustainable development and in accordance with the MELCC Environmental Impact Assessment and Review Procedure. This includes the eligibility analysis following the filing of the ESIA, a public information period, environmental analysis by departmental experts and, if requested, a public hearing mandate entrusted to the Bureau des audiences publiques sur l’environnement (BAPE).


The ESIA highlights the social and environmental benefits and impacts of the Matawinie project and proposes mitigating measures to reduce negative impacts while improving benefits. Since 2015, Nouveau Monde has engaged in collaborative discussion with the  local community and key stakeholders, including the Atikamekw community of Manawan. In parallel, several in-depth studies were carried-out in order to better understand the local environment and accordingly propose a project that addresses the identified issues.


Several innovative mining initiatives have been integrated into the Matawinie project design including:



  • The desire to operate an all-electric mine. To this end, Nouveau Monde will continue the technological and economic validation of this concept in partnership with various major mining equipment manufacturers;

  • The management of tailings and waste rock by co-disposal, thus avoiding the use of tailing ponds, and dams and the environmental risks associated with them;

  • Prioritize in-pit backfilling of tailings and waste rock to limit the project’s footprint;

  • The gradual restoration of the mining site throughout the period of operation of the project;

  • Mining operations schedules respecting the occasional land users present in the sector;

  • Maximization of local and regional socio-economic benefits by supporting local training and hiring as well as prioritizing local business partnerships, including with the community of Manawan.

  • Offering a voluntary acquisition program to the landowners located within a radius of 1 km of the projected open pit boundary.


By incorporating these mitigating measures into the ESIA, Nouveau Monde is limiting the main impacts of the project to the mine site, thereby preserving the current ambiance of the community of Saint-Michel-des-Saints and Saint-Zénon as well as the tourist sites and natural attributes of the Upper Matawinie region.

The Environmental and Social Impact Assessment of the Matawinie project will shortly be made available on the Quebec Government’s Environmental Assessment Register.

(“Nouveau Monde” or the “Corporation”) (TSX VENTURE: NOU) (OTCQB: NMGRF) (FRANKFURT: NM9) is pleased to announce that it has entered into definitive agreements in connection with a non-brokered private placement with Pallinghurst Graphite Limited, an affiliate of The Pallinghurst Group (“Pallinghurst”) for an amount of C$10,298,875 pursuant to which Pallinghurst has agreed to subscribe to 43,825,000 common shares (the “Shares”) in the capital of the Corporation, at a price of $0.235 per Share (the “Offering Price”) (the “Pallinghurst Placement”). The Pallinghurst Placement is subject to customary closing conditions, including approval of the TSX Venture Exchange (“TSXV”). Upon closing, which is expected to occur before April 30, 2019, Pallinghurst will hold approximately 19.99% of the Shares.


No brokerage, investment banking or similar fees will be paid by the Corporation for the Pallinghurst Placement and the Shares to be issued to Pallinghurst and in the Institutional Placement (as defined below) will be subject to a statutory hold period that extends four (4) months plus one (1) day from the closing of each.


In addition to the Pallinghurst Placement, Nouveau Monde intends to complete a second private placement to selected existing institutional shareholders and other investors which is expected to close in May 2019 (the “Institutional Placement”). The closing of the Institutional Placement is subject to customary closing conditions including the receipt of all necessary approvals, including the approval of the TSXV. The combined proceeds of the Pallinghurst Placement and the Institutional Placement are expected to be approximately C$22,000,000 million (the “Combined Equity Raise”).


The Combined Equity Raise is expected to provide Nouveau Monde with sufficient funding for its next stage of development of the Matawinie project (the “Matawinie Project”), a graphite development project located in the Saint-Michel-des-Saints area. The introduction of Pallinghurst as a cornerstone shareholder in Nouveau Monde is expected to bring added value to the Matawinie Project. Specifically, the net proceeds from the Combined Equity Raise will be used to fund the continued operation of the existing graphite flake plant, the construction of a demonstration plant, the ongoing permitting process for the Matawinie Project and for working capital and general corporate purposes.


Nouveau Monde operational update


Nouveau Monde’s experienced management team continues to advance the Matawinie Project as projected. As reported in January 2019, the Corporation’s progresses include:



  • the continued focus on strong community relations, the signing of a framework agreement with the Conseil des Atikamekw de Manawan and the Conseil de la Nation Atikamekw, as well as an agreement in principle with the municipality of Saint-Michel-des-Saints;

  • the construction and commissioning of the graphite flake concentrate demonstration plant;

  • the completion of a Definitive Feasibility Study, disclosed in accordance with National Instrument 43-101 – Standards of Disclosure for Mineral Projects;

  • a significant increase of the West Zone Mineral Resources of the Tony Block; and

  • the signing of a license and a collaboration agreement with Hydro-Québec concerning the value-added product process for graphite.


In the first quarter of 2019, Nouveau Monde has continued to successfully operate its flake graphite concentrate demonstration plant, allowing the ongoing qualification of its product with potential customers. The Corporation has also secured a binding five-year 25,000 tonnes per annum offtake and joint marketing agreement with a global commodity trading and logistics company, Traxys Group, as announced in the February 14, 2019 press release.

Details of the Pallinghurst Placement


In the context of the Pallinghurst Placement, the parties have agreed to the following rights and obligations:



  • Pallinghurst has been granted (i) anti-dilution rights in respect of subsequent equity offerings for capital raises and subsequent issuances of securities by the Corporation in order to maintain its 19.99% ownership, which will, subject to certain conditions, continue for up to two years from closing of the Pallinghurst Placement, and (ii) a right of first refusal over additional financings until, subject to certain conditions, the end of fiscal year 2019;

  • Pallinghurst is entitled to appoint two directors to the board of directors of Nouveau Monde provided that Pallinghurst retains a minimum ownership of at least 10% of the Shares outstanding;

  • As the Combined Equity Raise is expected to provide Nouveau Monde sufficient liquidity to fully fund its next stage of development, Nouveau Monde has agreed that, except for the Institutional Placement, it shall not raise additional equity financing without the prior written consent of Pallinghurst until the end of fiscal year 2019;

  • Pallinghurst will not sell its Share for up to two years following the closing of the Pallinghurst Placement; and

  • Nouveau Monde and Pallinghurst have agreed to work together exclusively for a 60 day-period from the closing of the Pallinghurst Placement to determine and negotiate in good faith the most appropriate equity funding plan for the entire capital required to bring the Matawinie project into commercial production (for more information on the costs related to the Matawinie Project, refer to press release dated October 25, 2018). Highlights:



  • Binding Offtake and Joint Marketing Agreement signed with Traxys.

  • For each of the first two years, Traxys will market, for customer product prequalification purposes, 200 tonnes of flake graphite concentrate (400 tonnes in total) from NMG’s currently operating Phase 1 Flake Graphite Demonstration Plant (the Demo Term).

  • Thereafter, 25,000 tonnes of flake graphite product will be sold through Traxys by Nouveau Monde for each of the first 5 years of NMG’s commercial production (the Full-Scale Term).

  • Traxys will have the exclusive right to market, distribute and resell the flake graphite products to Traxys’ customer base.


Offtake and Joint Marketing Agreement

Following the Demo Term, Traxys will distribute 25,000 tonnes of flake graphite products each year, for a term of 5 years beginning at the start of full commercial production.  Volume will be adjusted annually depending on demand and production capacity.


Traxys shall be entitled to receive from NMG a marketing fee for its services, established at market conditions.

SAINT-MICHEL-DES-SAINTS, Quebec, Jan. 08, 2019 (GLOBE NEWSWIRE) -- Thanks to the constant support of all its employees, consultants and shareholders, several important milestones were achieved during 2018 for Nouveau Monde Graphite (« Nouveau Monde » or the « Company ») (TSX Venture Exchange: NOU).  The management and the board of directors of Nouveau Monde would like to warmly thank all our stakeholders for their daily efforts in advancing our project during last year.


During 2018, Nouveau Monde continued to advance its graphite project on many fronts, including:



  • The construction and commissioning of a demonstration plant with the capacity to produce 1,000 tonnes of natural flake graphite concentrate per year. In the last quarter, the Company produced its first tons of bagged graphite products, demonstrating the ability to provide a concentrate of exceptional quality in an operational context that is quite comparable to the planned commercial plant.


  • The completion of a Feasibility Study, completed in accordance with the National Instrument (NI) 43-101 guidelines, detailing a mining operation with the goal of producing 100,000 tonnes of graphite concentrate per year for more than 25 years (see press release dated October 25, 2018).


  • A significant increase of the West Zone Mineral Resources of the Tony Block resulting in an Indicated Resource of 95.8M tonnes at 4.28% Cg (see press release dated June 27, 2018).


  • The signing of a license and a collaboration agreement with Hydro-Québec concerning the graphite’s transformation process for its use in Li-ion batteries (see press release dated May 17, 2018).


  • As regards the community relations, efforts to this end continued, resulting in the signing of a framework agreement with the Conseil des Atikamekw de Manawan and the Conseil de la Nation Atikamekw (see press release of April 12, 2018) and the signing of an agreement in principle with the municipality of Saint-Michel-des-Saints (see press release dated August 24, 2018). Throughout the year, NMG participated and organized many community events, including the open house held on December 8, 2018. Important milestone in the consultations held as part of the environmental and social impact assessment, more than 400 people participated in this event with the experts to carry out this study. A survey conducted in November with 300 respondents in the region indicates that 83% of respondents give a positive score to the project (see press release dated December 18, 2018).


OBJECTIVES FOR 2019


The main objectives of the Matawinie project for the year 2019 are the following:



  • Establish marketing partnerships and commence graphite concentrate sales in the first quarter. Product certification of graphite concentrate with key customers is anticipated during 2019 and 2020 through production from the demonstration plant.

SAINT-MICHEL-DES-SAINTS, Quebec, Dec. 18, 2018 (GLOBE NEWSWIRE) -- Nouveau Monde Graphite Inc. (“Nouveau Monde”) (TSX Venture Exchange: NOU) (OTCQX: NMGRF) (Frankfurt: NMG) publishes the results of a survey conducted by the firm Léger in which 83% of respondents give a positive score to the project while 9% of respondents consider that the project is quite negative (4%) or very negative (5%) for the region.


Leger was commissioned by Nouveau Monde to conduct a survey among the population of Saint-Michel-des-Saints, Saint-Zénon and Saint-Guillaume-Nord to measure perceptions about the project of the graphite mine in the region.


This survey, conducted from November 9 to 25, before the open house day held by NMG on Saturday, December 8, shows that 84% of respondents believe that Nouveau Monde has made enough efforts to keep the population informed of the evolution of the project.


"Among the respondents, almost all agree that the project will have economic benefits for municipalities and businesses in Haute-Matawinie (92%). To a lesser extent, they also believe that the project can be integrated into the territory by slightly modifying their quality of life (74%) and the quality of the environment (66%)," reads the research report.


This survey also illustrates that the elements the respondents are the most sensitive to are, in order of importance: economic benefits, employment opportunities followed by surface water quality and aquatic fauna.


The efforts made since 2015 to communicate the progress of the project have been successful as 84% of respondents feel that sufficient efforts have been made to date.


About the open house day on December 8th
During this open house day, in which more than 400 people from the region took part, Nouveau Monde proposed an information kiosk formula during which about ten experts contributing to the development of the environmental and social impact study responded to questions from the participants. For more than 3 hours, participants had the chance to discuss with them about the latest version of the project and the measures incorporated into its design following previous consultations and exchanges in order to minimize the impact on the environment.


The company's managers were personally greeting the citizens at the plant’s entrance. To top it off, Nouveau Monde organized guided tours of the demonstration plant with plant operators to present the graphite transformation process. This factory visit was full of memories for several residents of the region who worked there for many years before Lousiana Pacific closed its doors in 2007.

NOUVEAU MONDE GRAPHITE INC. (the “Corporation” or “Nouveau
Monde”) (TSX Venture Exchange: NOU) (OTCQX: NMGRF) (Frankfurt: NMG) is pleased to announce that it has, subject to all
required regulatory approvals, including the approval of the TSX Venture Exchange (the "Exchange"), retained Hybrid Financial
Ltd. ("Hybrid") to provide marketing and investor relations services, pursuant to an agreement (the "Agreement") entered into
between the parties effective as of July 1, 2018.


Hybrid Financial is a sales and distribution company working on behalf of clients in the financial services industry. Hybrid’s
unique approach helps effectively and efficiently build brands and launch products on behalf of small, medium, and large
clients. Offices in Toronto and Montreal allow Hybrid to comprehensively cover both United States and Canadian markets.
Pursuant to the Agreement, Hybrid has been retained by the Corporation for an initial period of six months. Upon expiration of
the initial term, the Agreement shall be automatically renewed on a monthly basis (subject to termination by the Corporation
by written notice). Hybrid will be responsible to assist the Corporation for all aspects of marketing campaigns and investor
relations for the Corporation. Hybrid will be paid a fee in the amount of $14,000 per month. Steve Marshall will be the
responsible person.


There is no prior relationship between Hybrid and the Corporation, nor is there any direct or indirect interest in the Corporation
or its securities or any right or intent to acquire such an interest on the part of Hybrid.
Update on the previously announced private placement
The Corporation is also pleased to provide an update on its previously announced brokered private placement of units (the
“Units”) of the Corporation, at a subscription price of $0.30 per Unit (the “Offering”).
The Offering has been proceeding well and the Corporation is encouraged by the interest received thus far. As announced on
July 13, 2018, the Corporation closed the first tranche of its Offering pursuant to which an aggregate number of 8,961,167
Units were issued. The Corporation expects to close the second tranche within the next few weeks and received conditional
approval from the TSX Venture Exchange (the “TSXV”) with respect to the duration of its Offering. The outside date upon which
the final acceptance of the Offering will be granted by the TSXV has been extended to September 5, 2018.

(“Nouveau Monde” or the “Corporation”) (TSX VENTURE: NOU) (OTCQX: NMGRF) (FRANKFURT: NM9) is pleased to announce that it has completed a private placement of 42,345,213 common shares (the “Shares”) in the capital of the Corporation at a price of C$0.235 per Share for aggregate gross proceeds of C$9,951,125 (the “Private Placement”). The Private Placement forms part of the financing strategy of the Corporation announced on April 3, 2019.


The Corporation also announces that it has closed an unsecured financing with Pallinghurst Graphite Limited (“Pallinghurst”) for an aggregate amount of C$2,000,000, which minimises shareholder dilution and bears interest at a rate of 9% per year (the “Financing”). The capital and the accrued interest shall be repaid at the latest on June 27, 2020.


Together with the proceeds of the private placement announced on April 3, 2019 and the Financing, the proceeds of the Private Placement (collectively, the “Combined Equity Raise”) are expected to provide Nouveau Monde with sufficient funding for its next stage of development of the Matawinie project (the “Matawinie Project”). Specifically, the proceeds from the Combined Equity Raise will be used to:



  • Fund the continued operation of the existing graphite flake plant, allowing product qualification purposes with end customers and process optimisation prior to full commercial operation;

  • The construction of a demonstration plant for value-added products, for the growing lithium-ion battery and expandable graphite markets; and

  • For working capital and general corporate purposes.


The following insiders, directors and officers, showing strong support for the Corporation, subscribed for a total of 33,090,320 Shares in the Private Placement amounting to C$7,776,225, as follows: cornerstone shareholder, Pallinghurst, subscribed for 8,525,000 Shares (for an amount of C$2,003,375) to maintain its 19.99% ownership interest; the Government of Québec, through its agent Ressources Québec Inc., subscribed for 20,000,000 Shares (for an amount of C$4,700,000); Charles-Armand Turpin subscribed for 4,255,320 Shares (for an amount of C$1,000,000); Éric Desaulniers subscribed for 50,000 Shares (for an amount of C$11,750); Charles-Olivier Tarte subscribed for 50,000 Shares (for an amount of C$11,750); Karl Trudeau subscribed for 50,000 Shares (for an amount of C$11,750) and Patrice Boulanger subscribed for 75,000 Shares (for an amount of C$17,625).

The Private Placement to insiders and the Financing with Pallinghurst constitute “related party transactions” within the meaning of Regulation 61-101 respecting Protection of Minority Security Holders in Special Transactions (“Regulation 61-101”) and TSXV Corporate Finance Policy 5.9 – Protection of Minority Security Holders in Special Transactions. The directors of the Corporation have determined that the exemptions from formal valuation and minority approval requirements provided for respectively under subsections 5.5(a) and 5.7(1)(a) of Regulation 61-101 can be relied on as neither the fair market value of the Shares issued to the insiders, together with the value of the Financing, nor the fair market value of the consideration paid exceed 25% of the Corporation’s market capitalization. None of the Corporation’s directors has expressed any contrary views or disagreements with respect to the foregoing. The Corporation did not file a material change report 21 days prior to the expected closing date of the Private Placement and the Financing as the details of the participation of the related parties of the Corporation had not been confirmed at that time.


The Corporation paid brokerage, investment banking or similar fees of only C$18,000 to Pareto Securities Ltd. and C$18,000 to Platinum Broking Company Limited for services rendered in connection with a portion of the Private Placement.


Annual General and Special Meeting of Shareholders


The Corporation held Friday, June 21, 2019 at 10:00 am the Annual General and Special Meeting of Shareholders whereby the following eight candidates were all elected as board directors: Yannick Beaulieu, Patrice Boulanger, Éric Desaulniers, Nathalie Jodoin, Marc Prud’homme, Christopher Shepherd, Arne H. Frandsen and Pierre Renaud.  Guy Bourassa withdrew his candidacy as a director.

No brokerage, investment banking or similar fees were paid by the Corporation for the Pallinghurst Placement and the Shares issued to Pallinghurst are subject to a four (4) months plus one (1) day statutory hold period ending on August 26, 2019. In the context of the Pallinghurst Placement, Pallinghurst agreed not to sell its Shares for up to two years following the Closing Date, subject to conditions.

("Nouveau Monde") (TSX Venture Exchange: NOU)  is pleased to announce that it has filed its Environmental and Social Impact Assessment ("ESIA") for the Matawinie Project with the Ministère de l'Environnement et de la Lutte contre les changements climatiques (« MELCC »).


The filing of the ESIA is an important step in the permitting of the project by the ministerial authorities, which will render its decision by decree. This study is conducted according to the principles of sustainable development and in accordance with the MELCC Environmental Impact Assessment and Review Procedure. This includes the eligibility analysis following the filing of the ESIA, a public information period, environmental analysis by departmental experts and, if requested, a public hearing mandate entrusted to the Bureau des audiences publiques sur l’environnement (BAPE).


The ESIA highlights the social and environmental benefits and impacts of the Matawinie project and proposes mitigating measures to reduce negative impacts while improving benefits. Since 2015, Nouveau Monde has engaged in collaborative discussion with the  local community and key stakeholders, including the Atikamekw community of Manawan. In parallel, several in-depth studies were carried-out in order to better understand the local environment and accordingly propose a project that addresses the identified issues.


Several innovative mining initiatives have been integrated into the Matawinie project design including:



  • The desire to operate an all-electric mine. To this end, Nouveau Monde will continue the technological and economic validation of this concept in partnership with various major mining equipment manufacturers;

  • The management of tailings and waste rock by co-disposal, thus avoiding the use of tailing ponds, and dams and the environmental risks associated with them;

  • Prioritize in-pit backfilling of tailings and waste rock to limit the project’s footprint;

  • The gradual restoration of the mining site throughout the period of operation of the project;

  • Mining operations schedules respecting the occasional land users present in the sector;

  • Maximization of local and regional socio-economic benefits by supporting local training and hiring as well as prioritizing local business partnerships, including with the community of Manawan.

  • Offering a voluntary acquisition program to the landowners located within a radius of 1 km of the projected open pit boundary.


By incorporating these mitigating measures into the ESIA, Nouveau Monde is limiting the main impacts of the project to the mine site, thereby preserving the current ambiance of the community of Saint-Michel-des-Saints and Saint-Zénon as well as the tourist sites and natural attributes of the Upper Matawinie region.

In addition to the Pallinghurst Placement, Nouveau Monde intends to complete a second private placement to selected existing institutional shareholders and other investors which is expected to close in May 2019 (the “Institutional Placement”). The closing of the Institutional Placement is subject to customary closing conditions including the receipt of all necessary approvals, including the approval of the TSXV. The combined proceeds of the Pallinghurst Placement and the Institutional Placement are expected to be approximately C$22,000,000 million (the “Combined Equity Raise”).


The Combined Equity Raise is expected to provide Nouveau Monde with sufficient funding for its next stage of development of the Matawinie project (the “Matawinie Project”), a graphite development project located in the Saint-Michel-des-Saints area. The introduction of Pallinghurst as a cornerstone shareholder in Nouveau Monde is expected to bring added value to the Matawinie Project. Specifically, the net proceeds from the Combined Equity Raise will be used to fund the continued operation of the existing graphite flake plant, the construction of a demonstration plant, the ongoing permitting process for the Matawinie Project and for working capital and general corporate purposes.


Nouveau Monde operational update


Nouveau Monde’s experienced management team continues to advance the Matawinie Project as projected. As reported in January 2019, the Corporation’s progresses include:



  • the continued focus on strong community relations, the signing of a framework agreement with the Conseil des Atikamekw de Manawan and the Conseil de la Nation Atikamekw, as well as an agreement in principle with the municipality of Saint-Michel-des-Saints;

  • the construction and commissioning of the graphite flake concentrate demonstration plant;

  • the completion of a Definitive Feasibility Study, disclosed in accordance with National Instrument 43-101 – Standards of Disclosure for Mineral Projects;

  • a significant increase of the West Zone Mineral Resources of the Tony Block; and

  • the signing of a license and a collaboration agreement with Hydro-Québec concerning the value-added product process for graphite.


In the first quarter of 2019, Nouveau Monde has continued to successfully operate its flake graphite concentrate demonstration plant, allowing the ongoing qualification of its product with potential customers. The Corporation has also secured a binding five-year 25,000 tonnes per annum offtake and joint marketing agreement with a global commodity trading and logistics company, Traxys Group, as announced in the February 14, 2019 press release.

Details of the Pallinghurst Placement


In the context of the Pallinghurst Placement, the parties have agreed to the following rights and obligations:



  • Pallinghurst has been granted (i) anti-dilution rights in respect of subsequent equity offerings for capital raises and subsequent issuances of securities by the Corporation in order to maintain its 19.99% ownership, which will, subject to certain conditions, continue for up to two years from closing of the Pallinghurst Placement, and (ii) a right of first refusal over additional financings until, subject to certain conditions, the end of fiscal year 2019;

  • Pallinghurst is entitled to appoint two directors to the board of directors of Nouveau Monde provided that Pallinghurst retains a minimum ownership of at least 10% of the Shares outstanding;

  • As the Combined Equity Raise is expected to provide Nouveau Monde sufficient liquidity to fully fund its next stage of development, Nouveau Monde has agreed that, except for the Institutional Placement, it shall not raise additional equity financing without the prior written consent of Pallinghurst until the end of fiscal year 2019;

  • Pallinghurst will not sell its Share for up to two years following the closing of the Pallinghurst Placement; and

  • Nouveau Monde and Pallinghurst have agreed to work together exclusively for a 60 day-period from the closing of the Pallinghurst Placement to determine and negotiate in good faith the most appropriate equity funding plan for the entire capital required to bring the Matawinie project into commercial production (for more information on the costs related to the Matawinie Project, refer to press release dated October 25, 2018). The parties are under no obligation to reach an agreement on a funding plan but if an agreement is reached, a shareholder approval will be required.

Highlights:



  • Binding Offtake and Joint Marketing Agreement signed with Traxys.

  • For each of the first two years, Traxys will market, for customer product prequalification purposes, 200 tonnes of flake graphite concentrate (400 tonnes in total) from NMG’s currently operating Phase 1 Flake Graphite Demonstration Plant (the Demo Term).

  • Thereafter, 25,000 tonnes of flake graphite product will be sold through Traxys by Nouveau Monde for each of the first 5 years of NMG’s commercial production (the Full-Scale Term).

  • Traxys will have the exclusive right to market, distribute and resell the flake graphite products to Traxys’ customer base.


Offtake and Joint Marketing Agreement

Following the Demo Term, Traxys will distribute 25,000 tonnes of flake graphite products each year, for a term of 5 years beginning at the start of full commercial production.  Volume will be adjusted annually depending on demand and production capacity.


Traxys shall be entitled to receive from NMG a marketing fee for its services, established at market conditions.

SAINT-MICHEL-DES-SAINTS, Quebec, Jan. 08, 2019 (GLOBE NEWSWIRE) -- Thanks to the constant support of all its employees, consultants and shareholders, several important milestones were achieved during 2018 for Nouveau Monde Graphite (« Nouveau Monde » or the « Company ») (TSX Venture Exchange: NOU).  The management and the board of directors of Nouveau Monde would like to warmly thank all our stakeholders for their daily efforts in advancing our project during last year.


During 2018, Nouveau Monde continued to advance its graphite project on many fronts, including:



  • The construction and commissioning of a demonstration plant with the capacity to produce 1,000 tonnes of natural flake graphite concentrate per year. In the last quarter, the Company produced its first tons of bagged graphite products, demonstrating the ability to provide a concentrate of exceptional quality in an operational context that is quite comparable to the planned commercial plant.


  • The completion of a Feasibility Study, completed in accordance with the National Instrument (NI) 43-101 guidelines, detailing a mining operation with the goal of producing 100,000 tonnes of graphite concentrate per year for more than 25 years (see press release dated October 25, 2018).


  • A significant increase of the West Zone Mineral Resources of the Tony Block resulting in an Indicated Resource of 95.8M tonnes at 4.28% Cg (see press release dated June 27, 2018).


  • The signing of a license and a collaboration agreement with Hydro-Québec concerning the graphite’s transformation process for its use in Li-ion batteries (see press release dated May 17, 2018).


  • As regards the community relations, efforts to this end continued, resulting in the signing of a framework agreement with the Conseil des Atikamekw de Manawan and the Conseil de la Nation Atikamekw (see press release of April 12, 2018) and the signing of an agreement in principle with the municipality of Saint-Michel-des-Saints (see press release dated August 24, 2018). Throughout the year, NMG participated and organized many community events, including the open house held on December 8, 2018. Important milestone in the consultations held as part of the environmental and social impact assessment, more than 400 people participated in this event with the experts to carry out this study. A survey conducted in November with 300 respondents in the region indicates that 83% of respondents give a positive score to the project (see press release dated December 18, 2018).


OBJECTIVES FOR 2019


The main objectives of the Matawinie project for the year 2019 are the following:



  • Establish marketing partnerships and commence graphite concentrate sales in the first quarter. Product certification of graphite concentrate with key customers is anticipated during 2019 and 2020 through production from the demonstration plant.


  • The filing of an environmental and social impact assessment with the ministerial authorities during the first quarter to begin the process of obtaining licences for the commercial operation.


  • Construction and commissioning of a purified spherical graphite production demonstration plant targeting the Li-ion battery market with the support of strategic partnerships. The purification capacity can also be used to purify flakes of different sizes to penetrate lucrative niche markets.


  • Publication of a Preliminary Economic Study on commercial production of 30,000 tonnes per year of purified value added spherical graphite.


  • Completion of the detailed engineering phase for a pilot plant capable of producing value added expandable graphite with the support of strategic partners. This involves upscaling the process Nouveau Monde used to fabricate expandable graphite products in a laboratory setting.


  • The start of the detailed engineering of the commercial mining project. In order to accomplish this, we will continue to integrate highly qualified staff into our development team to begin planning for construction, which is scheduled to begin in 2020.


  • Ongoing dialogue with stakeholders and intensification of our information and mobilization actions with citizens and skateholders, especially in the environment field, to implement a project that respects the host community and aims for a low environmental footprint.

SAINT-MICHEL-DES-SAINTS, Quebec, Dec. 18, 2018 (GLOBE NEWSWIRE) -- Nouveau Monde Graphite Inc. (“Nouveau Monde”) (TSX Venture Exchange: NOU) (OTCQX: NMGRF) (Frankfurt: NMG) publishes the results of a survey conducted by the firm Léger in which 83% of respondents give a positive score to the project while 9% of respondents consider that the project is quite negative (4%) or very negative (5%) for the region.


Leger was commissioned by Nouveau Monde to conduct a survey among the population of Saint-Michel-des-Saints, Saint-Zénon and Saint-Guillaume-Nord to measure perceptions about the project of the graphite mine in the region.


This survey, conducted from November 9 to 25, before the open house day held by NMG on Saturday, December 8, shows that 84% of respondents believe that Nouveau Monde has made enough efforts to keep the population informed of the evolution of the project.


"Among the respondents, almost all agree that the project will have economic benefits for municipalities and businesses in Haute-Matawinie (92%). To a lesser extent, they also believe that the project can be integrated into the territory by slightly modifying their quality of life (74%) and the quality of the environment (66%)," reads the research report.


This survey also illustrates that the elements the respondents are the most sensitive to are, in order of importance: economic benefits, employment opportunities followed by surface water quality and aquatic fauna.


The efforts made since 2015 to communicate the progress of the project have been successful as 84% of respondents feel that sufficient efforts have been made to date.


About the open house day on December 8th
During this open house day, in which more than 400 people from the region took part, Nouveau Monde proposed an information kiosk formula during which about ten experts contributing to the development of the environmental and social impact study responded to questions from the participants. For more than 3 hours, participants had the chance to discuss with them about the latest version of the project and the measures incorporated into its design following previous consultations and exchanges in order to minimize the impact on the environment.


The company's managers were personally greeting the citizens at the plant’s entrance. To top it off, Nouveau Monde organized guided tours of the demonstration plant with plant operators to present the graphite transformation process. This factory visit was full of memories for several residents of the region who worked there for many years before Lousiana Pacific closed its doors in 2007.

Methodology: These results are the result of a phone survey conducted from November 9 to 25, 2018, with a sample of 330 residents and vacationers from Saint-Michel-des-Saints, Saint-Zénon and Saint-Guillaume-Nord. As a comparison, a probability sample of the same size (n = 330) would have a margin of error of +/- 5.4%, 19 times out of 20 (in 95% of cases).

NOUVEAU MONDE GRAPHITE INC. (the “Corporation” or “Nouveau
Monde”) (TSX Venture Exchange: NOU) (OTCQX: NMGRF) (Frankfurt: NMG) is pleased to announce that it has, subject to all
required regulatory approvals, including the approval of the TSX Venture Exchange (the "Exchange"), retained Hybrid Financial
Ltd. ("Hybrid") to provide marketing and investor relations services, pursuant to an agreement (the "Agreement") entered into
between the parties effective as of July 1, 2018.


Hybrid Financial is a sales and distribution company working on behalf of clients in the financial services industry. Hybrid’s
unique approach helps effectively and efficiently build brands and launch products on behalf of small, medium, and large
clients. Offices in Toronto and Montreal allow Hybrid to comprehensively cover both United States and Canadian markets.
Pursuant to the Agreement, Hybrid has been retained by the Corporation for an initial period of six months. Upon expiration of
the initial term, the Agreement shall be automatically renewed on a monthly basis (subject to termination by the Corporation
by written notice). Hybrid will be responsible to assist the Corporation for all aspects of marketing campaigns and investor
relations for the Corporation. Hybrid will be paid a fee in the amount of $14,000 per month. Steve Marshall will be the
responsible person.


There is no prior relationship between Hybrid and the Corporation, nor is there any direct or indirect interest in the Corporation
or its securities or any right or intent to acquire such an interest on the part of Hybrid.
Update on the previously announced private placement
The Corporation is also pleased to provide an update on its previously announced brokered private placement of units (the
“Units”) of the Corporation, at a subscription price of $0.30 per Unit (the “Offering”).
The Offering has been proceeding well and the Corporation is encouraged by the interest received thus far. As announced on
July 13, 2018, the Corporation closed the first tranche of its Offering pursuant to which an aggregate number of 8,961,167
Units were issued. The Corporation expects to close the second tranche within the next few weeks and received conditional
approval from the TSX Venture Exchange (the “TSXV”) with respect to the duration of its Offering. The outside date upon which
the final acceptance of the Offering will be granted by the TSXV has been extended to September 5, 2018.
