VANCOUVER, BC / ACCESSWIRE / November 1, 2019 / (CSE:CMC) Cielo Waste Solutions Corp. ("Cielo" or the "Company") is pleased to announce that it has closed the initial tranche of its private placement offering (the "Offering") of unsecured convertible debenture units (the "Unit(s)"), raising gross proceeds of $505,000, exceeding its targeted minimum of CAD $500,000.


Each Unit consists of one (1) $1,000 unsecured convertible debenture (the "Debenture(s)") and 500 share purchase warrants (the "Warrant(s)"). The Debentures bear interest at a simple rate of 15% per annum, the initial two (2) years of interest to be prepaid (the "Prepaid Interest") on the date of issuance of the Debentures (the "Issue Date") by the issuance of common shares (the "Prepaid Interest Shares") at a price of $0.12 per Prepaid Interest Share. The principal of the Debentures (the "Principal") together with all accrued interest exceeding the Prepaid Interest (the "Interest Balance") will be repaid 48 months from the Issue Date unless repaid earlier by Cielo without penalty or converted by the holder(s) thereof, any time after four months and a day following the Issue Date at a price of $0.08 for the Principal and $0.12 for the Interest Balance.


Each Warrant will be exercisable for a term of 48 months from the Issue Date (the "Warrant Term") at an exercise price of $0.25 per share, subject to acceleration in the event that the common shares of Cielo listed on a recognized stock exchange trade at $0.50, or higher, for at least five (5) consecutive trading days, in which event Cielo may provide a notice to holders that the Warrant Term will terminate 30 days from the date of notice.


Cielo has issued 505 Debentures, 252,500 Warrants, and 1,262,500 Prepaid Interest Shares.


The Offering will remain open until November 15, 2019 or such earlier or later date as determined by Cielo, subject to CSE approval. Net proceeds of the Offering will be used additional construction required to be completed to the Company's refinery in Aldersyde, Alberta ("Aldersyde Refinery"), as well as for general working capital.


Although the Offering is non-brokered, the Company may, as determined in its sole discretion, pay reasonable customary brokers' and/or finders' commissions in connection with the completion of the Offering of up to 8% of the gross proceeds raised by such broker(s)/finder(s) and up to 8% of the total number of common shares that would be issued to subscribers introduced by such broker(s)/finder(s) if 100% of the Principal under the Debentures is converted. Cielo has paid $10,000 to finders and issued 25,000 finder warrants, exercisable at $0.12 per share for 48 months from the date of issuance.


All securities issued pursuant to the Offering are subject to a statutory 4 month hold period.


Production Update


The Aldersyde Refinery is continuing to produce distillate. Once approximately 120,000 liters of distillate have been produced, which is anticipated to be within the next two weeks, the Aldersyde Refinery will use the distillate to begin producing renewable naphtha and renewable diesel fuel concurrently on a continuous-flow basis. The Company has not yet increased the hourly production volume of distillate so as to make sure that the Aldersyde Refinery continues to operate without any issues while the operational team integrates all the of the production processes with the newly installed software. It is still management's goal to ramp up the production to 1,000 liters/hour, then up to 2,000 liters/hour in the 2nd phase.

Hello Lionel.

It is a breath of fresh air to have a person in communications who answers questions openly and honestly.

I am a VERY strong believer in the tech Cielo is soon bringing to the globe. It seems to me that the real holdback other than equipment issues while getting through the learning curve, is regulatory permissions to proceed. Red tape. Gotta love it.

While being the first true company to bring this level of tech to the market, I have fully expected speed bumps along the way. When people’s confidence waivers, I add more shares to my portfolio.

I have been fortunate enough to leave my own back yard and travel our globe to some extent and have seen the issues our friends have in different locations with their garbage. Further more, while in Denmark, paying $2.17/litre for fuel left a rather distasteful feeling in my wallet.

When you are attempting something that hasn’t been done, you’ll have to also do things that have never been tried. Taking time during this process is critical and perfecting it now in the smaller scale Aldersyde location, will only mean further advancement for renewable U To get up and running faster once the permitting is in place.

What municipality or city in their right mind won’t want to brag about the fact they have a MUCH smaller carbon and physical footprint and can also obtain the fuel their equipment needs from the refuse they produce? Those who don’t take advantage will be left scratching their heads until they call and get a plant built. Just my opinion.

The global implications that Cielo currently possesses are staggering.

While in Italy, my wife and I saw garbage piles on the streets 6-10’ high due to a garbage strike.

Fuel in Denmark is well over $2 per litre.

The technology of using garbage as a feedstock could quite literally save lives due to health concerns of refuse in some locations. The total implication of Cielo’s operation will only be seen to its full extent over time.

Renewable U has clearly seen the light and global vision with this company and I’m glad you have taken the reigns as communications director. Your clarity and insight is a breath of fresh air to a long term shareholder.

I for one understand the tech and I know it’s going to take some time to dial things in and deal with government to get everything accomplished. I am looking forward to more positive news and communication along this journey. Keep up the hard work and welcome aboard.

And one more thing if renewable u is confident that the technology works then why the constant delays to finalize the sites committed to? It seems that till now everyone is uncertain about commercial viability of this technology?

Hi Lionel, I listened in on the conference call yesterday and I am unclear a few things that were said. Firstly if there is in fact nothing wrong with the machine or the technology why hasn’t the company been able to produce at the 500-1000L previously stated amounts? It seems they are stuck at the 300 L point. Secondly, why did Don say that he expects first sales beginning of Dec? That is 2 month away. That is significantly pushing the post in my opinion. Thirdly, If the company can in fact produce at 1000L/h and are in need of cash, why no sell diesel with sulfur and turn a profit( based on what Don said) and use that to fund desulfurization instead of getting your shareholders to pay for that as well? I have been invested in this stock for over 2 years heavily and I am growing tired of the constant delays and broken promises.

Thank you Lionel for the information that you have provided us with so far. I am a big Cielo supporter. I am curious as to where we are in the commissioning phase and if the machine is running and operating as expected. The company has announced that an operation update will shortly follow in the last press release but nothing has been released. Just want to make sure there are no major issues this time around.
